We are recruiting a Company Secretarial Manager to join our team, to provide an efficient, professional company secretarial service to internal and external clients, to continually increase the quality of service and to encourage client referrals and repeat business with the aim to increase revenue and profits.

The role

Responsibilities are generalised and are no way exhaustive:

Client Management

  • Provide a full range of general company secretarial compliance services to a portfolio of clients
  • Advisory / consultancy services such as group reorganisations, share capital restructurings, share transfers / allotments, Employee Incentive Schemes, share buy backs, capital reductions and amendment of Articles of Association
  • Dealing with ad-hoc matters such as incorporations of companies, registration of UK establishments, dividend payments, company name changes, striking off and restorations
  • Board support including attending meetings and taking minutes
  • Provide advice to partners, staff and clients on company law, governance and company secretarial matters
  • Carry out reviews / audits of company books and recommend appropriate courses of action
  • Assist clients in establishing robust corporate governance frameworks
  • Drafting client fees

Departmental – Technical Management

  • Providing internal technical training to the department
  • Assisting in writing articles and fact sheets
  • Networking internal and external

Staff Management

  • Ability to demonstrate proactive leadership within the department
  • Providing key support to the head of the department in the leadership of the team
  • Leading by example
  • Acting as a leader in the absence of the head of the department
  • Assisting in training junior members of staff

Business Development Skills

  • Drive and determination to promote the department internally/externally
  • Business development
  • Assist in improving existing services and developing new services

Skills and knowledge

  • Experience of drafting basic shareholder agreements and loan agreements
  • Experience in drafting / amending articles of association
  • Company law support in general, and in particular around distributions and transfers of assets on a reconstruction
  • Experience of working with tax departments.

  • The candidate will be ICSA/CGI Qualified or equivalent
  • Advanced Knowledge of Diligent software
  • Intermediate knowledge of Microsoft office packages including Word, Excel, PowerPoint, Outlook, Internet
